Member Terms of Use Agreement

Brandeis University intends to deliver a mobile community to approved members/users that provide content and services consistent with Brandeis’s charter and mission to foster a continuing relationship and educational experience with our constituencies, as well as help drive support for the University.

Brandeis University licenses the portal software and features from UC Innovation, a leading CRM maker for advancement in the products suite of Kindsight. Brandeis University has branded the portal “My Brandeis Gateway.”

Provision of Services and Resources

My Brandeis Gateway Services and Resources mean the online, web-based features hosted in the portal software. Brandeis University is the exclusive owner of Services and Resources content. No rights with respect to the Services and Resources are granted to the Members/Users.

Brandeis has the right to modify or remove the provided Services and Resources, its support policies, its security and privacy policies and any other information and/or policies at its sole discretion.

My Brandeis Gateway Member/User Obligations

(a) Brandeis University requires our community members observe the highest level of confidentiality with respect to all content, services and resources. Brandeis prohibits our members from using personal information gathered from My Brandeis Gateway Services and Resources for any commercial, philanthropic or political purpose that is not directly connected with and approved by the University.

(b) Members/Users may only use My Brandeis Gateway Services and Resources for lawful purposes. Any posting or transmission of data or other use of the Services and Resources in violation of applicable state, federal or other laws is strictly prohibited. This includes, but is not limited to, data that is threatening, obscene, indecent, defamatory, discriminatory, or which belongs to a third party and used without permission.

(c) Members/Users shall not (i) copy, sell, lease, transfer, assign, or otherwise exploit the Services and Resources or the data to any third party; (ii) send spam or otherwise unsolicited messages in violation of applicable laws and privacy regulations to other members and Brandeis employees; (iii) interfere with or disrupt the integrity or performance of the Services and Resources or the data contained therein; or (iv) attempt to gain unauthorized access to the Services and Resources or its related systems or networks.

(d) Members/Users will not provide password or login access to other individuals or third parties.

(e) Members/Users are restricted from engaging with third parties/developers/contractors to develop or duplicate any interfaces, training materials or derivative works of My Brandeis Gateway.

Brandeis University and My Brandeis Gateway Responsibilities

Brandeis shall use reasonable efforts to (i) maintain the security and integrity of My Brandeis Gateway Services and Resources; (ii) to lawfully license the software and external resources that is made available to Members/Users; and (iii) to work with our provider, UC Innovation, to make My Brandeis Gateway available 24 hours a day, 7 days a week, except for (a) scheduled maintenance or (b) any unavailability caused by circumstances beyond our provider’s control.

Fraudulent Behavior

Anyone demonstrated to have engaged in fraudulent conduct, dishonest use, misuse of Brandeis services and resources, or be in breach of any terms in this agreement may be subject to the loss of their My Brandeis Gateway account and other Brandeis services, as well as may be subject to disciplinary action, up to and including civil or criminal prosecution when warranted.

UC Innovation Compliance with Privacy Laws

UC Innovation represents that it has in place a comprehensive, written information security program applicable to any records containing “Personal Information” as defined in M.G.L. c 93H and 201 CMR 17.02; and that such comprehensive information security program is reasonably consistent with industry standards, and contains administrative, technical, and physical safeguards to ensure the security and confidentiality of such records. The portal uses Salesforce technology who maintains a comprehensive set of compliance certifications, including SOC 1 Type II, SOC 2 Type II, and PCI DSS.

Intellectual Property and Content Ownership

Our members/users may not alter, substitute, nor reproduce Brandeis data and content, service marks, trademarks, logos, any delivered services, and any derivative works or improvements thereof made by Brandeis, in whole or in part, without written consent from an authorized representative of Brandeis University.

In addition, all transactional data and other member or user information collected from the use of the Services and Resources shall be the property of Brandeis University. We encourage you to review our Privacy Statement which covers the collection, use and disclosure of your information.

Liability and Indemnification

Brandeis University shall not be liable to Members/Users or any of their representatives for any damages or claims arising out of, related to or in connection with the use of My Brandeis Gateway. Members/Users agree to indemnify and hold harmless Brandeis University, including its members, officers, directors, employees, partners, or agents from any and all damages, expenses, claims, demands, liabilities, fines, penalties, or judgements, including attorneys’ fees, in connection with the use of My Brandeis Gateway.

My Brandeis Gateway contains links to other sites. Brandeis is not responsible for the terms of use, privacy practices, and content of the other sites.

Privacy Commitment

Brandeis is committed to your privacy and safeguarding your personal information and herein, include our Privacy Statement as additional terms of this agreement.

Updates to the Member Terms of Use and Privacy Statement

Brandeis has the right to make changes or additions to our policies at any time. If those changes involve your Personal Information, interruptions or loss of your member services and content, Brandeis will notify you by email.

Termination

Brandeis may terminate our service agreement with UC Innovation at any time, which may interrupt or cancel your use of My Brandeis Gateway. Brandeis will notify you by email.

Binding
